Interpretation In
these Conditions: “Buyer”
means the person whose order for Goods and/or Services is accepted by the
Seller. 1.
General 1.1
The Contract is subject to these Conditions, which shall govern the Contract to
the exclusion 1.2
No variation to these Conditions shall be binding unless agreed in writing
between the 2.
Provision of the Goods and Services 2.1
Where a Quotation is based upon information supplied by the Buyer, the Buyer is
responsible for its accuracy and any increased costs of supply resulting in any
inaccuracy are the Buyer’s responsibility. 2.2
No order which has been accepted by the Seller, may be cancelled by the Buyer
except with 3.
Price of the Goods and Services 3.1
The price of the Goods and Services shall be the price set out in the Order
Confirmation. 3.2
The Seller reserves the right to increase the price of the Goods and Services to
cover: 3.2.1
Any increase in the cost to the Seller which is due to any factor beyond the
control of the Seller. 3.2.2
Any delay caused by any instruction of the Buyer or failure of the Buyer to give
the Seller 4.
Terms of Payment 4.1
Subject to any special terms agreed in writing between the Buyer and the Seller,
the Seller 4.2
The Buyer shall pay the price of the Goods and/or the Services within no more
than 14 days of the date of invoice. 4.3
Failure on behalf of the Buyer to make full payment by the due date will,
without prejudice to any other right or remedy available to the Seller, entitle
the Seller to apply an additional charge of £55.00 + V.A.T. to the outstanding
debt. 4.3.1
In the case of a further delay of payment, the Seller may pass the debt to a
collection agency who reserves the right to apply further fees and penalty
charges. 5.
Warranties, Liabilities and Indemnity 5.1 The Seller will within a period of 6 months from the date of provision of Goods/Services, repair or replace without chargeany Goods/Services, which are proved to the reasonable satisfaction of both parties, to be defective in material or workmanship. This obligation will not apply where: 5.1.1 The Buyer has improperly used the Goods, or the Goods have been subjected to misuse, unauthorised repair, damage, negligence, adverse weather conditions and/or alteration. 5.2
The Seller accepts liability for personal injury or death caused by the
negligence of the Seller or its employees (acting within the course of their
employment) and for any other matter for which it would be illegal to exclude or
attempt to limit or exclude its liability. 5.3 The Seller shall not be liable for any delay in performing or any failure to perform any of the Seller’s obligations in relation to the Services if the delay or failure was due to any cause beyond the Seller’s reasonable control. 6.
Proper Law 6.1
Any dispute arising under or in connection with these Conditions and any
Contract shall be N.B.
